The agreement between you and PeptideDistro.com when you use the Site, submit a wholesale application, request a quote, or place an order.

Acceptance of terms

By accessing PeptideDistro.com (the “Site”), submitting a wholesale application, requesting a quote, or placing an order, you (the “Buyer”) agree to these Terms of Service (“Terms”) and to our Privacy Policy, Shipping Policy, Refund Policy, Compliance Overview, and, if you are an approved wholesale buyer, our Wholesale Terms. If you do not agree, do not use the Site or place an order.

Eligibility and qualified buyer status

The Site and catalog are intended only for qualified commercial, institutional, and research buyers acting in the course of a legitimate research, manufacturing, formulation, or distribution use case. By placing an order, the Buyer represents that the Buyer is at least 21 years of age, has authority to bind the Buyer’s organization, and is acquiring compounds for in vitro research and laboratory use by qualified personnel only.

PeptideDistro.com may decline, suspend, or revoke account access or refuse any order at its sole discretion, including where Buyer information cannot be verified, where the stated use case is inconsistent with research-use-only positioning, or where fulfillment would violate applicable law.

Research-use-only restrictions

All compounds offered through the Site are sold for in vitro research and laboratory use only. Buyer agrees that compounds purchased through the Site will not be used, resold, repackaged, formulated, or distributed for:

Human or veterinary consumption, ingestion, or injection
Therapeutic, prophylactic, or diagnostic use
Use as a dietary supplement, food, cosmetic, drug, or medical device
Any consumer-facing distribution, including online resale, that markets the compound for human or animal use

Orders, pricing, and payment

All orders are subject to acceptance by PeptideDistro.com. Quoted prices are valid for the period stated on the quote and are subject to change without notice prior to acceptance. Payment terms, accepted methods, taxes, and surcharges are as specified on the quote or invoice. Orders are not confirmed until payment is received in cleared funds, except where written net terms have been extended to an approved wholesale account.

Buyer is responsible for any duties, taxes, brokerage, and import fees applicable at the destination unless explicitly stated otherwise on the quote.

Shipping, title, and risk of loss

Shipment is governed by our Shipping Policy. Unless otherwise agreed in writing, title and risk of loss pass to Buyer upon delivery to the carrier at the origin facility (FCA — PeptideDistro.com origin). Buyer is responsible for inspecting shipments on receipt and for filing any carrier claims for visible damage.

Returns and refunds

Research compounds are typically non-returnable due to chain-of-custody and stability considerations. Returns and refund eligibility are governed by our Refund Policy.

Disclaimer of warranties

EXCEPT FOR ANY EXPRESS WRITTEN WARRANTY ON A LOT-SPECIFIC CERTIFICATE OF ANALYSIS, PRODUCTS ARE PROVIDED “AS IS” FOR RESEARCH USE ONLY. PEPTIDEDISTRO.COM DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTY ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. PEPTIDEDISTRO.COM DOES NOT WARRANT THAT ANY COMPOUND IS SUITABLE OR SAFE FOR HUMAN OR VETERINARY USE AND MAKES NO MEDICAL, THERAPEUTIC, OR CLINICAL CLAIM OF ANY KIND.

Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PEPTIDEDISTRO.COM’S AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR ANY ORDER WILL NOT EXCEED THE AMOUNTS ACTUALLY PAID BY BUYER TO PEPTIDEDISTRO.COM FOR THE SPECIFIC ORDER GIVING RISE TO THE CLAIM IN THE THREE (3) MONTHS PRECEDING THE EVENT. PEPTIDEDISTRO.COM WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST DATA, OR LOSS OF GOODWILL, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Indemnification

Buyer agrees to defend, indemnify, and hold harmless PeptideDistro.com and its affiliates, officers, employees, and agents from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) Buyer’s use, resale, repackaging, formulation, or distribution of any compound purchased through the Site; (b) any breach of these Terms by Buyer; (c) Buyer’s violation of applicable law; or (d) any claim that Buyer’s use of a compound caused harm to any person or animal.

Intellectual property

All content on the Site, including text, graphics, molecular illustrations, product imagery, and software, is the property of PeptideDistro.com or its licensors and is protected by United States and international intellectual property laws. Buyer is granted a limited, revocable, non-transferable license to view the Site for the purpose of evaluating wholesale procurement. No other use is permitted without prior written consent.

Governing law and dispute resolution

These Terms are governed by the laws of the Commonwealth of Pennsylvania, United States, without regard to conflict-of-laws principles. Any dispute arising out of or related to these Terms will be resolved exclusively in the state or federal courts located in Lackawanna County, Pennsylvania, and the parties consent to personal jurisdiction and venue in those courts. Buyer waives any right to participate in a class, collective, or representative action.

Placeholder — choice-of-law and dispute-resolution wording is subject to legal review and may be replaced with binding arbitration prior to launch.

Modifications

PeptideDistro.com may update these Terms at any time. The current version is published at this URL with an effective date. Continued use of the Site or placement of any new order after the effective date constitutes acceptance of the updated Terms.
